These Terms & Conditions (“Terms”) govern your access to and use of KioSync (“KioSync”, “we”, “us”, “our”), a restaurant ordering, kitchen-display, and billing software platform. KioSync is accessible via https://kiosync.in and related kiosk, kitchen, and admin applications (the “Service”). By subscribing to, accessing, or using the Service — or by requesting a demo — you (“you”, “Restaurant”, “Merchant”) agree to these Terms. If you do not agree, do not use the Service.

1. Service Overview

KioSync provides software for restaurants and food outlets, including QR-based digital menu and ordering, a kitchen display system with voice announcements, an admin/billing (POS) panel, table and menu management, loyalty, inventory, and staff management, and the ability to accept online payments through the Restaurant's own integrated payment gateway and/or cash at counter. Features available to you depend on your subscription plan.

2. Eligibility & Account

You must be a lawfully operating business holding all required licenses (including FSSAI/Food license and Shops & Establishment registration, as applicable). You are responsible for all activity under your account and for keeping your credentials secure. You must provide accurate information during onboarding and keep it updated.

3. Subscription, Fees & Payment

  • KioSync is offered on a monthly subscription basis under the plan you select. A one-time setup/training fee may apply.
  • Subscription fees are billed monthly in advance and are non-refundable except as stated in our Refund & Cancellation Policy.
  • Fees are exclusive of GST and other applicable taxes, which you are responsible for.
  • We may revise plans and prices in future with prior notice; continued use after the effective date constitutes acceptance.
  • A 15-day free trial may be offered. Unless you cancel before it ends, your paid monthly subscription begins automatically at the end of the trial.

4. Payments to the Restaurant (Important)

KioSync operates on a “bring your own gateway” (BYOK) model for online payments. When a customer pays online, funds are processed by, and settle directly to, the Restaurant's own payment gateway and bank account (e.g. Razorpay, PayU, PhonePe). KioSync is a software provider and is not a payment aggregator; we do not hold, collect, route, or take any cut of your customers' payments. The Restaurant is solely responsible for its payment-gateway relationship, settlement, chargebacks, and customer/order refunds (see Refund & Cancellation Policy).

5. Your Data & Ownership

All menu data, orders, customer information, and restaurant-related business data belong to you, the Restaurant. KioSync does not claim ownership of your business data and processes it solely to provide the Service, as described in our Privacy Policy. You grant us a limited license to host, process, and display your data as needed to operate the Service.

6. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to, disrupt, or reverse-engineer the Service; (c) resell, sublicense, or copy the Service; or (d) upload unlawful, infringing, or harmful content. We may suspend access for violations.

7. Intellectual Property

The Service — including its software, code, design, interfaces, and the “KioSync” name and logo — is owned by us. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service during your subscription. Your brand name, logo, and content remain yours.

8. Service Availability

We aim for high availability but do not guarantee uninterrupted or error-free access. Downtime may occur due to maintenance, internet/third-party outages, or factors beyond our control. The billing/ordering record maintained by the system is the authoritative record; real-time features are advisory.

9. Third-Party Services

The Service integrates with third parties (payment gateways, cloud hosting, SMS/voice, translation/voice synthesis, etc.). Your use of those is governed by their terms. We are not responsible or liable for any loss arising from third-party service failures.

10. Disclaimer & Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. To the maximum extent permitted by law, we disclaim all implied warranties (merchantability, fitness for purpose, accuracy, availability). We shall not be liable for any indirect, incidental, special, or consequential damages, or loss of revenue, profits, business, goodwill, or data. Our total aggregate liability, however arising, shall not exceed the subscription fees paid by you in the one (1) month immediately preceding the event giving rise to the claim.

11. Suspension & Termination

You may cancel at any time per the Refund & Cancellation Policy. We may suspend or terminate access if you breach these Terms, fail to pay, or misuse the Service. On termination, your right to use the Service ends; please export your data before the end of your billing period, after which we may delete it per our retention practices.

12. Indemnity

You agree to indemnify and hold us harmless from any claims, losses, or expenses arising from your use of the Service, your content/data, your customer/order refunds and chargebacks, or your breach of these Terms or applicable law.

13. Changes to Terms

We may update these Terms from time to time. The updated version is effective on posting. Continued use constitutes acceptance.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of India. The courts at Pune, Maharashtra shall have exclusive jurisdiction.
